Terms of Service

inboxctl has not been publicly released and purchases are not yet available. The sales and licence provisions below describe the planned terms for release and apply when sales begin.

1. Who you are dealing with

inboxctl ("the Software") and the website inboxctl.com ("the Site") are operated by E-1 Przemysław Alexander Kamiński, Aleja Solidarności 117, 00-140 Warsaw, Poland ("Licensor", "I", "me"). You can reach me at hello@inboxctl.com.

When sales begin, purchases will be processed through Stripe Managed Payments, in which Stripe Technology Europe, Limited acts as the Merchant of Record and authorised reseller for every order. Stripe handles payment, invoicing, sales tax and VAT, fraud checks, chargebacks and payment-related support. At checkout and afterwards this appears under the name Link: the order shows as Sold through Link, receipts and invoices come from Link, your card statement reads LINK.COM*, and orders can be managed at link.com. Stripe's consumer terms apply to the payment transaction together with these Terms.

2. Acceptance

By installing, copying or using the Software, or by buying a licence through the Site, you agree to these Terms and to any licence agreement supplied with the Software. If you do not agree, do not install or use the Software.

3. Trial version

A trial is planned so that you can evaluate inboxctl before purchasing. Its availability and any limits will be stated with the released build. You can currently email to request a preview.

4. Licence grant

Subject to these Terms, any licence agreement supplied with the Software and payment of the applicable fee, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on no more than three (3) personal computers that you own or control. A separate licence is required for use on additional computers or by another person. You may make one archival backup copy solely to restore your lawful installation.

The licence is issued to the name and email address supplied at checkout and delivered by email.

5. Update window

Each licence records an updates-until date, one (1) year from purchase, which is the last day whose releases the licence covers. It is not an expiry. The Software keeps working indefinitely on a licence whose update window has passed; the window only says which releases you are entitled to. Newer builds published after that date require a new purchase.

Licences bought through this Site are perpetual: they carry no expiry date, only the update window above.

6. Restrictions

You may not, and may not permit anyone else to:

• modify, adapt, translate, alter, or create derivative works of the Software;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the Software's source code, except only to the extent such a restriction is prohibited by applicable law;
• copy the Software except as expressly allowed above;
• sell, resell, distribute, publish, rent, lease, lend, sublicense, assign, transfer, host, or otherwise make the Software or your licence block available to another person; or
• remove, obscure, or alter any proprietary notice, label, or mark in the Software, or circumvent, disable or tamper with the licensing mechanism.

A licence obtained fraudulently, charged back, or used in breach of this section may be revoked. Any licence validation requests will be described in the Privacy Notice before they are introduced.

7. Ownership

You acquire a licence to use the Software; ownership remains with its rights holders. Licensor and its suppliers retain all right, title and interest in and to the Software, the Site and their content, including all intellectual property rights. No rights are granted except those expressly stated. Third-party components remain subject to their own licence terms, supplied with the Software.

8. Price and payment

Prices will be shown on the Site before purchase and include VAT where applicable. The licence fee is a one-time payment. Stripe calculates, collects and remits sales tax, VAT or GST based on your location, and will issue your invoice or receipt. Checkout may show the price converted into your local currency.

9. Refunds

Refunds are governed by my Refund Policy, which forms part of these Terms.

10. Updates, services and availability

Beyond the update window described in section 5, I am not required to provide maintenance, support, upgrades, new releases or any other service. Any update supplied is part of the Software and governed by these Terms and any licence agreement supplied with the Software unless supplied with separate terms. I may change, suspend or discontinue any part of the Software or the Site at any time, and I do not promise that any particular feature will exist in a future release.

11. Termination

Your licence terminates automatically if you breach these Terms or any licence agreement supplied with the Software. On termination you must stop using the Software and destroy all copies in your possession or control. Restrictions, ownership, warranty disclaimers, limitations of liability, and general provisions survive termination to the extent applicable by their nature.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available", with all faults and without warranty or guarantee of any kind. You assume all risk arising from its installation, use, results and performance. All express, implied and statutory warranties are disclaimed, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and error-free or uninterrupted operation. It is not warranted that defects will be corrected or that the Software will meet your requirements. No oral or written information or advice creates any warranty. This does not affect statutory rights that cannot be excluded, including consumer rights under EU and Polish law.

13. Limitation of liability

To the maximum extent permitted by law, Licensor and its suppliers will not be liable for any indirect, incidental, special, exemplary, punitive or consequential damages, or for any loss of profits, revenue, business, data, goodwill or use, arising out of or related to the Software or these Terms, even if advised of the possibility of such damages. Licensor's total aggregate liability for all claims will not exceed the amount you paid for the Software. These limitations apply regardless of the form or basis of the claim and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so they apply only to the extent permitted in your jurisdiction; nothing here limits liability for fraud, wilful misconduct, or death or personal injury.

14. Changes to these Terms

I may update these Terms from time to time. The current version is always published here with its "last updated" date. Material changes do not apply retroactively to licences already purchased.

15. General

You must comply with all laws applicable to your use of the Software, and you may not export or use it in violation of applicable export-control or sanctions laws. These Terms together with any licence agreement supplied with the Software and the Refund Policy are the entire agreement concerning the Software and supersede prior or contemporaneous understandings about it. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms; Licensor may.

16. Governing law

These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-laws rules, and the courts of the Republic of Poland have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Software. If you are a consumer resident in the EU, this does not deprive you of the protection of the mandatory consumer law of your country of residence or of the right to bring proceedings there. Information about consumer dispute resolution is available from the European Commission.
